1. Acceptance of Terms

By accessing or using Latence AI's services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

These Terms constitute a legally binding agreement between you (either an individual or an entity) and Latence LLC, a Wyoming Limited Liability Company doing business as Latence AI ("Latence AI", "we", "us", or "our").

The Service is designed for business and professional use (B2B). By creating an account, you represent that you are acting on behalf of a business entity or in a professional capacity. If you use the Service as an individual, you accept these Terms as they apply to business users.

2. Description of Service

Latence AI provides document intelligence and data processing APIs, including but not limited to:

• Document processing and text extraction
• Text extraction and analysis
• Embedding generation
• Vector search and retrieval (ColBERT)
• Relation extraction and knowledge graphs
• Document redaction and PII detection
• Document chunking and compression
• Other AI-powered document intelligence features

3. Account Registration

To use the Service, you must:

• Create an account with accurate and complete information
• Be at least 18 years of age
• Have the authority to enter into this agreement on behalf of yourself or your organization
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account. We reserve the right to refuse service or terminate accounts at our discretion.

4. API Keys and Authentication

API access requires valid API keys:

• You must keep API keys confidential and secure
• Do not share API keys publicly or embed them in client-side code
• You are responsible for all usage under your API keys
• We may revoke API keys for violation of these Terms
• Rotate keys regularly for security

5. Acceptable Use

You Agree NOT To:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to harm, harass, or threaten others
• Scrape or collect data without permission
• Resell or redistribute the Service without authorization
• Generate excessive load that disrupts service availability
• Process illegal content or content that violates third-party rights
• Use the Service for any unlawful surveillance or data collection

6. Balance and Billing

Pay-As-You-Go Model

Our Service operates on a transparent, pay-as-you-go pricing model in USD:

• Usage is billed per token, per page, or per image depending on the service
• Pricing is transparent and listed on our pricing page
• Your balance does not expire unless your account is terminated
• You deposit funds in custom USD amounts (minimum $5.00)
• New accounts receive a $2.00 free balance on signup

Payments and Merchant of Record

Our order process is conducted by our online reseller Paddle.com Market Limited ("Paddle"). Paddle is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. By depositing funds, you enter into a transaction with Paddle, and Paddle's Checkout Buyer Terms apply to payment-related matters.

• All prices are in USD
• You authorize Paddle to charge your payment method for deposits
• We may change pricing with 30 days' notice

Refunds

We offer a 30-day money-back guarantee on all deposits. If you are not satisfied for any reason, you may request a full refund within 30 days of your purchase. All refund requests are processed by Paddle.

To request a refund, contact Paddle's support team through the receipt email you received at the time of purchase, or reach out to us at admin@latence.ai and we will assist you with the process.

7. Data and Content

Your Content

You retain all rights to the content you submit to our Service ("Your Content"). By using the Service, you grant us a limited license to process Your Content solely to provide the Service.

Zero Data Retention

No Model Training

Usage Metadata

We do record usage metadata for billing and analytics purposes. This includes only operational metrics such as token counts, page counts, usage costs, latency, and service identifiers. No document content is included in usage records.

Your Responsibilities

• You are responsible for ensuring you have rights to process submitted content
• You must comply with data protection laws applicable to your jurisdiction when using our Service
• You are responsible for obtaining necessary consents for processing personal data through our Service

8. Referral Program

Latence AI may offer a referral program that allows users to earn USD balance by referring new users:

• Referral rewards ($5.00 USD each) are promotional and granted at our discretion
• Balance earned through referrals is non-transferable and has no cash value
• We reserve the right to revoke referral rewards obtained through fraud, abuse, or manipulation (including self-referral or fake accounts)
• We may modify or discontinue the referral program at any time without notice
• Referral terms are subject to these Terms of Service

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service:

• The Service is provided "as is" and "as available" without warranties of any kind
• We may perform maintenance with or without notice
• We are not liable for service interruptions or downtime
• We may modify or discontinue features at any time

10. Rate Limits and Fair Use

To ensure fair access for all users:

• We may implement rate limits on API requests
• Excessive usage may result in throttling or temporary suspension
• Enterprise plans with higher limits are available
• We reserve the right to enforce fair use policies

11. Intellectual Property

Our IP

The Service, including all technology, software, designs, and content (excluding Your Content), is owned by Latence AI and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Remove proprietary notices or labels
• Use our trademarks without permission

Open Source

Our Python SDK and certain components are open source under their respective licenses. See our GitHub repository for details.

12. Confidentiality

Both parties agree to maintain confidentiality of proprietary information:

• Your API keys and account credentials are confidential
• Your usage patterns and business information are confidential
• Our infrastructure details and proprietary technology are confidential
• Confidential information may only be disclosed as required by law

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• LATENCE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION
• OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR DATA LOSS, BUSINESS INTERRUPTION, OR LOST PROFITS
• WE ARE NOT LIABLE FOR THIRD-PARTY SERVICES OR INFRASTRUCTURE FAILURES

Some jurisdictions do not allow limitation of liability for certain types of damages, so these limitations may not apply to you to the extent prohibited by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Latence AI and its officers, members, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising from:

• Your violation of these Terms
• Your Content or use of the Service
• Your violation of any applicable laws or third-party rights
• Unauthorized use of your account

15. Termination

By You

You may terminate your account at any time through the dashboard settings. Termination does not entitle you to a refund of unused balance.

By Us

We may suspend or terminate your account:

• For violation of these Terms
• For fraudulent activity
• For non-payment
• If required by law
• At our discretion with reasonable notice

Effect of Termination

Upon termination:

• Your access to the Service will be revoked
• API keys will be invalidated
• Account data will be deleted in accordance with our Privacy Policy
• Unused balance is forfeited
• You remain liable for any outstanding payments

16. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes:

• By email to your registered address
• By posting notice on our website
• Through the dashboard

Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

17. Governing Law and Disputes

Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

• Good faith negotiation between the parties
• If negotiation fails, binding arbitration in Wyoming, USA
• Arbitration shall be conducted under the American Arbitration Association rules

Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.

European Union Users

If you are based in the European Union, nothing in these Terms limits your rights under mandatory consumer protection laws of your member state, to the extent such laws apply to your use of the Service. For data protection matters, please refer to our Privacy Policy.

18. Export Compliance

The Service may be subject to U.S. export control laws. You agree not to:

• Export or re-export the Service to prohibited countries
• Provide access to sanctioned individuals or entities
• Use the Service in violation of export laws

19. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Latence AI
• Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect
• No Waiver: Failure to enforce any right does not constitute a waiver of that right
• Assignment: You may not assign these Terms without our prior written consent; we may assign freely
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
• Survival: Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination
